Acceptance of Terms

Starnik reserves the right to make any changes to the Site, its content, or services offered at any time and without notice. If you do not agree to these Terms, now or at any time, please do not use this Site, our products, and/or our services.

Definitions

“Starnik” means Starnik Inc. and it’s affiliated entities.

“Materials” any information and/or software available on this Site.

“Contributions” means any text, writings, video, audio, photographs, graphics, comments, suggestions, personal information, or other materials you provide us.

Scope of Limited License

The Materials on this Site are provided by Starnik as a service to its customers and those persons visiting the Site, and may be used for informational and non-commercial purposes only.

All content on this Site is protected by Intellectual Property belonging to Starnik. No portion of this Site may be reproduced in any form, or by any means, without prior written permission from Starnik.

Starnik hereby grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable right to access and use the Site to view it’s contents. You may download or print one copy of the information found on the Site solely for your personal, non-commercial use, and only in support of the use or marketing of Starnik and its products. This is a license, not a transfer of title in any Intellectual Property, the contents of this Site, and/or the Materials.

The trademarks, logos and service marks (“Marks”) displayed on this Site are the property of Starnik or its licensors. You are not permitted to copy any Marks without the prior written consent of it’s owner.

The license is also subject to the following restrictions: you may not: (a) modify the Materials or other contents of this Site or use them for any commercial purpose; (b) decompile, reverse engineer, or disassemble Materials except and only to the extent required to be permitted by applicable law; (c) remove any copyright or other proprietary notices from the Materials; (d) use the Materials or other contents of this Site in a manner inconsistent with the scope of the license granted in these terms.

Your use may be terminated or suspended without notice, at Starnik’s sole discretion.

Although Starnik has attempted to provide accurate information on the Site and in the Materials, we assume no responsibility for the accuracy of any such information. All information and Materials provided on this Site are provided “as is” without warranty of any kind, express, implied, statutory or otherwise, including without limitation any warranty of suitability, non-infringement or fitness for any particular purpose.

Starnik shall have no liability for any damages whatsoever (including without limitation any lost profits, lost data, loss of use, whether direct, indirect, special or consequential in nature) arising out of or in connection with the Site and/or Materials, including costs of procurement of substituted goods or services.

Contribution License

Starnik is not liable for any statements or representations in your Contributions provided by you in any area of the Site. You are solely responsible for your Contributions and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. Contributions include anything you create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other materials.

By posting Your Contributions to any part of the Site, or making Contributions accessible to the Site, You grant (and warrant that You have the right to grant) an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use copy, reproduce, disclose, sell, resell, publish, broad cast, retitle, archive, store, cache, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, and to prepare derivative works of, or incorporate in other works, such as Contributions, and grant and authorize sublicenses of the foregoing. You waive all moral rights in your Contributions and warrant that moral rights have not otherwise been asserted in your Contributions.

Starnik has the right, in its sole discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice.

Starnik has no obligation to monitor your Contributions.

Applicable Law

These Terms and Conditions will be governed by and construed in accordance with the substantive laws of the United States and the State of Texas, specifically those of Lubbock County. The United Nations Convention on Contracts for the International Sale of Goods and the Unfair Contracts Act in the United Kingdom will not apply to this Agreement.

This Site is controlled by Starnik from its offices within the United States. Starnik makes no representation that Products and/or Services offered by the Site are appropriate or available for use in other locations. Those who choose to access this Site from other locations do so under their own initiative and are responsible for compliance with applicable local laws. Not all products or services may be available in your country. Please contact us for information as to products and services available to you.

Strict Limitation of Liability

STARNIK WILL NOT BE LIABLE FOR PERSONAL INJURY, LOST PROFITS, LOSS OF DATA, OR FOR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES INCURRED OR SUFFERED BY LICENSEE ARISING AS A RESULT OF OR RELATED TO THIS AGREEMENT OR ANY LICENSED MATERIALS OR SERVICES, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES. You agree to defend, indemnify, and hold harmless Starnik, its parents, subsidiaries, affiliates, and its and their officers, directors, employees, and agents, from and against any third-party claims arising out of or in conjunction with any use of the Site, or by Your breach of this Agreement, as well as all costs, expenses, and liabilities (including without limitation reasonable attorneys’ fees) incurred in connection therewith.

Your Use of the Site

Your use of the Site and/or any Materials must be in accordance with these Terms and/or any applicable laws or regulations.

You may not;

  • Use the Site in connection with any commercial activity;
  • Use or launch any data mining or any similar data gathering and extraction tools, in connection with the Site (including by using software, scripts or automated agents and bots);
  • Any use of the Site that damages Starnik, or disables, overburdens, or impairs the Site or it’s servers, and/or otherwise interferes with any other party’s use and enjoyment of the Site;
  • Use or launch any automated system, including without limitation, any “robots”, “spiders”, or “offline readers”, that accesses the Site in a manner than a human can reasonably produce in the same period by using a conventional on-line web browser;
  • Attempt to gain unauthorized access to any part of the Site and/or Materials.
  • Mirror or frame the Site or any part of it on any other website or web page.

Modification of the Terms

We may modify these Terms at any time at our sole discretion, and such modifications shall be effective immediately upon posting of the modified Terms. Your continued use of the Site shall be deemed as Acceptance of the modified Terms.
